1. Acceptance of these Terms
These Terms of Service (the “Terms”) govern access to and use of femilabs.shop, related storefront features, accounts, communications, and purchases from Femi Labs. By accessing the site, creating an account, submitting information, or placing an order, you agree to these Terms and the policies incorporated by reference, including the Refund Policy, Shipping Policy, and Privacy Policy. If you do not agree, do not use the site or place an order.
2. Age requirement
You must be at least 21 years old to access the purchasing functions of the site or place an order. By ordering, you represent that you are 21 or older and legally able to enter into a binding agreement.
3. Research Use Only
All Femi Labs products are sold strictly for lawful laboratory, analytical, educational, or research use only. They are not intended for human or animal consumption, administration, diagnosis, treatment, therapeutic use, dosing, injection, or any other medical or veterinary use. Product names and references are used for catalog identification and research-reference purposes only.
4. Purchaser representations and responsibility
By placing an order, you represent that your purchase is for a lawful research purpose and that you will comply with all laws, regulations, institutional rules, permits, professional requirements, and other obligations that apply to your purchase, possession, handling, storage, transfer, export, import, or use of the products. You are responsible for determining whether a product may lawfully be purchased or possessed in your jurisdiction and for providing accurate billing, shipping, contact, and purchaser-verification information.
5. Prohibited activity
You may not use the site or products for an unlawful purpose; misrepresent your age, identity, intended use, or purchaser information; attempt to purchase on behalf of a prohibited person or destination; interfere with site security or operation; scrape or misuse product documentation; engage in fraud, unauthorized payment activity, chargeback abuse, or other abusive conduct; or use Femi Labs branding, documentation, or content in a misleading manner.
6. Product information, batch documents, and research results
Product descriptions, images, specifications, weights, concentrations, availability, and batch documentation are provided in good faith for catalog and research-reference purposes. Images may be illustrative. A Certificate of Analysis or other batch document applies only to the identified sample, batch, or record. Femi Labs does not guarantee that any product will produce a particular research result or be suitable for a particular protocol, method, application, or outcome.
7. Pricing, promotions, inventory, and corrections
Prices, discounts, promotions, product availability, inventory, shipping methods, and eligibility requirements may change without notice. Femi Labs may correct typographical, pricing, inventory, or listing errors and may refuse, limit, hold, or cancel an order when reasonably necessary for inventory, payment verification, fraud prevention, legal or compliance review, safety, or fulfillment.
8. Orders and payment
Submitting an order is an offer to purchase and does not guarantee acceptance. An order is accepted only when Femi Labs confirms or fulfills it. You authorize the selected payment provider to charge the amount presented at checkout. Orders may be held, declined, or cancelled if payment, identity, address, purchaser verification, or other order information cannot be verified. If you believe a charge is unauthorized or incorrect, contact support promptly; nothing in these Terms waives rights that cannot legally be waived under applicable payment or consumer-protection law.
9. All-sales-final / refund rule
Except where non-waivable law requires otherwise, Femi Labs does not offer refunds, returns, exchanges, or credits for change of mind, buyer’s remorse, accidental purchases, ordering the wrong product, no longer wanting or needing the product, finding a lower price elsewhere, or other reasons unrelated to a verified missing item or a product that arrives damaged. Refund or replacement review is limited to verified missing-from-shipment or damaged-on-arrival issues and is governed by the Refund Policy.
10. Missing or damaged shipment claims
To request review of a missing or damaged shipment issue, contact support promptly with the order number and any requested photos or other evidence, including the outer packaging, shipping label, and affected item when applicable. Femi Labs may review fulfillment records and carrier information before approving any remedy. Approval is not automatic. Do not discard packaging or return an item unless instructed by support.
11. Shipping, address accuracy, and carrier events
Processing and delivery times are estimates, not guarantees. Customers are responsible for entering a complete and deliverable address and reviewing it before fulfillment. Carrier delays, weather, holidays, service interruptions, incorrect or incomplete addresses, refusal of delivery, and other events outside Femi Labs’ reasonable control may affect delivery. Additional terms are stated in the Shipping Policy. Allocation of title and risk of loss is subject to applicable law.
12. Accounts and communications
You are responsible for maintaining the confidentiality of account credentials and for activity conducted through your account. You agree that order confirmations, policy notices, account messages, and other transaction-related communications may be provided electronically. Marketing communications, where offered, are subject to applicable consent and opt-out rules.
13. Intellectual property
Unless otherwise stated, the Femi Labs name, logos, product presentation, website design, original graphics, photographs, text, and other original site content are owned by or licensed to Femi Labs and may not be copied, reproduced, modified, distributed, republished, or commercially exploited without permission, except as permitted by law.
14. Third-party services and links
The site may rely on or link to third-party services such as payment processors, analytics providers, shipping carriers, hosting providers, social platforms, and external laboratories. Femi Labs does not control those third parties and is not responsible for their independent acts, omissions, availability, security practices, or terms, except to the extent responsibility cannot legally be excluded.
15. No medical, diagnostic, or professional advice
Nothing on the site constitutes medical, diagnostic, treatment, dosing, injection, veterinary, legal, regulatory, or other professional guidance. Site content is limited to product identification, ordering, documentation, and general research-supply information.
16. Disclaimer of warranties
To the maximum extent permitted by applicable law, the site, site content, and products are provided on an “as available” and “as is” basis except for any express written commitments that cannot lawfully be disclaimed. Femi Labs disclaims implied warranties to the extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Some jurisdictions do not allow certain warranty exclusions, so these limitations apply only to the extent legally permitted.
17. Limitation of liability
To the maximum extent permitted by applicable law, Femi Labs and its owners, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, lost profits, lost data, lost research opportunity, or losses arising from misuse of products, misuse of the site, carrier delays, third-party services, or events outside reasonable control. Where liability cannot be excluded, it is limited only to the extent permitted by law. Nothing in these Terms excludes liability or rights that cannot lawfully be excluded or limited.
18. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Femi Labs and its owners, officers, employees, contractors, and service providers from third-party claims, damages, costs, or expenses arising from your unlawful use of the site or products, your violation of these Terms, or your infringement of another person’s rights.
19. Force majeure
Femi Labs is not responsible for delay or failure caused by events outside its reasonable control, including carrier disruptions, severe weather, natural disasters, labor disputes, utility or internet failures, governmental actions, supply interruptions, cyber incidents, or similar events, except where applicable law provides otherwise.
20. Governing law and disputes
These Terms are governed by the law applicable to Femi Labs and the transaction, without overriding any mandatory consumer-protection or other non-waivable rights that apply to you. Any dispute must be brought in a court or forum with lawful jurisdiction over the parties and dispute unless the parties agree to another permitted resolution method.
21. Severability; no waiver; assignment
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law. Failure to enforce a provision is not a waiver. You may not transfer your rights or obligations under these Terms where prohibited by law or without required consent; Femi Labs may transfer its rights or obligations in connection with a lawful reorganization, sale, or transfer of the business or assets.
22. Policy incorporation and entire agreement
The Refund Policy, Shipping Policy, Privacy Policy, checkout acknowledgements, and any product-specific terms presented before purchase are incorporated into these Terms. Together, they form the agreement governing the relevant use of the site or order, subject to non-waivable law.
23. Changes to these Terms
Femi Labs may update these Terms from time to time. The version posted when you use the site or place an order applies to that interaction unless applicable law requires otherwise. Material changes will apply prospectively where required.
